Shopify Collective Terms of Service

The following terms (“Terms of Service”) describe the terms and conditions applicable to your access to, and use of, the Services, as this term is defined in Section 1. This document is a legally binding agreement between you as the user of the Services (referred to as “Merchant”, “you” or “your”) and Shopify Inc. and its Affiliates (referred to as “we”, “our”, “us” or “Shopify”).


By signing up for and using the Services, you agree to be bound by these Terms of Service and any policies or guidelines incorporated by reference. Any new features or tools that are added to the Services shall also be subject to these Terms of Service. You can review the current version of the Terms of Service at any time here. You acknowledge and agree that we may amend these Terms of Service, and any of the documents it incorporates by reference, at any time, by posting the relevant amended and restated Terms of Service, and such amendments to the Terms of Service are effective as of the date of posting. Your continued use of the Services after the amended Terms of Service are posted constitutes your agreement to, and acceptance of, the amended Terms of Service. If you do not agree to any changes to the Terms of Service, do not continue to use the Services.


These Terms of Service shall supersede and replace all prior agreements or understandings between you and Shopify that may have previously applied to your use of the Services (previously referred to as the “Merchant-to-Merchant Sales Channel” and “Shopify Source”).


You must read, agree with and accept all of the terms and conditions contained and incorporated by reference in these Terms of Service, including: (i) our Privacy Policy available at: https://www.shopify.com/legal/privacy; (ii) Shopify’s Acceptable Use Policy available at: https://www.shopify.com/legal/aup; (iii) Merchant’s existing service agreement with Shopify, including Shopify’s Terms of Service available at: https://www.shopify.com/legal/terms; and (iv) the Shopify Payments Terms of Service (if applicable) available at https://www.shopify.com/legal/terms-payments-us (collectively, the “Shopify TOS”) which are hereby incorporated by reference into these Terms of Service. Capitalized terms not defined in these Terms of Service have the meanings given to them in the Shopify TOS. The Services are deemed to be a part of the “Services” described in the Shopify TOS.


  1. Definitions. In these Terms of Service:

    1. “Affiliate” or “Affiliates” of an entity means an entity directly or indirectly controlling, controlled by, or under common control with such entity.

    2. “Applicable Laws” means all regional, state, provincial, federal or other laws or regulations applicable to the performance of the parties’ obligations under these Terms of Service, including without limitation, all applicable data protection and privacy laws related to the collection, use and disclosure of Personal Information and all consumer protection laws and other laws applicable to the sale of consumer goods and services.

    3. “Buyer” means a consumer who initiates a Transaction on the Retailer Merchant’s Store.

    4. “Comments” means any ideas, suggestions, comments, proposals, plans, or other related content or submissions submitted by you to us, whether online, by email or otherwise.

    5. “Commercial Terms” means the terms of sale between a Retailer Merchant and a Supplier Merchant with respect to the sale of Products, including, without limitation, any terms related to cost of goods, commissions, payment terms, taxes, refunds, returns, chargebacks, inventory, title, shipping, customer support, customer disputes, product liability, or any other matters related to the sale, or offering for sale, of the Products.

    6. “Materials” has the meaning given to it in Section 2(g).

    7. “Merchant(s)” as used in these Terms of Service, “Merchant” refers collectively to both a Retailer Merchant and/or a Supplier Merchant, as the context implies.

    8. “Personal Information” means any information which is related to an identified or identifiable natural person.

    9. “Product” or “Products” mean those items listed for sale by a Supplier Merchant via the Services for resale on the Retailer Merchants’ applicable Store.

    10. “Retailer Merchant” means a Shopify Merchant who uses the Services to select and purchase Products from Supplier Merchants for resale to Buyers via the Retailer Merchant’s Store.

    11. “Services” means the services and functionality made available via the Shopify Collective application developed by Shopify (and any associated services, software, products, and features), which enable Merchants to discover, list and source Products from, other Merchants

    12. “Store” means an e-commerce store owned by a Retailer Merchant and operated using the Shopify Services (as defined in the Shopify TOS).

    13. “Supplier Merchant” means a Merchant who uses the Services to make its Product(s) available to Retailer Merchants for the purpose of offering such Product(s) for resale through the Retailer Merchant’s Store.

    14. “Taxes” means all taxes, customs, duties, federal, provincial, state, local or other governmental sales, value added, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future.

    15. “Territory” means Canada and/or the continental states within the U.S.

    16. “Transaction” has the meaning given to it in Section 2(b).


  1. General Conditions

    1. The Services consist of an application and service that enables Merchants to be discovered by, list and sell Products to, other Merchants for resale on a Retailer Merchant’s Store.

    2. Each completed purchase of a Product by a Buyer from a Store constitutes a “Transaction”. The Retailer Merchant will be the merchant of record for the Transaction, and will bear all responsibility for such Transaction as is normally borne by the merchant of record as further described in the Shopify TOS and these Terms of Service.

    3. In order to access and use the Services, you must: (i) must have an eligible Shopify Account and Shopify Payments account, in good standing; (ii) be 18 years or older, or at least of the age of majority in the jurisdiction where the Merchant resides, or from which the Merchant uses the Services; (iii) be able to supply and deliver the Products that it offers for sale via the Services; (iv) be approved by Shopify and comply with the conditions we determine to ensure the safe and reliable supply of the Products; (v) have an active Store within the Territory; and (vi) display a Buyer-facing refund policy and privacy policy that complies with Applicable Laws on your Store. Despite the foregoing, we reserve the right to reject your application for, or cancel, or suspend your access to, the Services, for any reason, at our sole discretion. Nothing in these Terms of Service limits Shopify’s rights under the Shopify TOS.

    4. As part of your registration in, and ongoing use of the Services, you are required to provide us, upon request, any documentation reasonably necessary to demonstrate that you have sufficient rights, and the ability, to offer for sale, sell and fulfill or purchase Products via the Services. You may also be required to provide additional information reasonably requested about yourself or your business, including documentation relating to the beneficial ownership of your business. Despite the foregoing, we reserve the right to suspend, or terminate your access to the Services, or remove any listings in relation to your Products, should we believe or suspect that you do not have sufficient rights and the ability to sell and fulfill or purchase Products.

    5. The Services enable the discovery, and connection of Merchants. Shopify is not directly involved in, or a party to, any transactions between Merchants in connection with the Services, other than as expressly set out in these Terms of Service. You agree that your use of the Services is at your own risk and you are responsible for all activity in connection with your use of the Services, including all activity in connection with your employees, agents or subcontractors’ use of the Services.

    6. Merchants may enter into Commercial Terms with respect to the sale of the Products. You acknowledge and agree that the Commercial Terms (and any enforcement thereof) are solely between Merchants.

    7. Shopify may impose or introduce certain restrictions with respect to the Services (such as geographical limitations) at any time.

    8. Supplier Merchants must fulfill any Products purchased by a Buyer as soon as possible, and Merchants agree to act in good faith when negotiating and performing their obligations under any Commercial Terms.

    9. You are responsible for all activity and content such as photos, Product images, videos, graphics, written content, audio files, code, information, or data uploaded, collected, generated, stored, displayed, distributed, transmitted, or exhibited on or in connection with your use of the Service and/or provided or made available to Shopify by you, or on your behalf, in relation to your use of the Services (collectively, the "Materials"). Without limiting the foregoing, you are solely responsible for (i) ensuring any and all information you submit about your Products is complete, accurate, and in compliance with Applicable Laws; and (ii) ensuring that any modifications made, or supplementary material added to any descriptions of Products are complete, accurate, in compliance with Applicable Laws, and permitted by the applicable Supplier Merchant. Shopify disclaims all liability with respect to the display or use of the Materials, including, but not limited to, any illegal use of the Materials, and has no responsibility for any communications sent between Supplier Merchant, Retailer Merchant, or their respective customers or Buyers.

    10. Retailer Merchant agrees that it will: (i) be responsible for completing each Transaction and fulfilling the applicable order for each Product purchased by a Buyer; (ii) be responsible for providing any refunds or exchanges of the Product in accordance with its refund and exchange policy (which will be clearly displayed to Buyers on the Retailer Merchant's Store); and (iii) pay all applicable Taxes owed to the applicable government authorities, including sales, use and similar indirect Taxes in accordance with Retailer Merchant’s obligations under the Shopify TOS and Section 8 below.

    11. In order to use the Services, you must at all times comply with these Terms of Service, the Shopify TOS, and any other operating rules, policies, guidelines and/or procedures that are incorporated by reference into such documents or that we communicate to you from time to time. Your failure to do so may result in an immediate suspension and/or termination of these Terms of Service and your use of the Services.

    12. Merchants may be able to contact other Merchants directly through the Services or via a Third Party Provider (as hereinafter defined). You agree to contact other Merchants only in accordance with these Terms of Service and for legitimate business purposes, such as asking questions about that Merchant’s Products or other business related matters. You must not abuse this feature or use it for any unlawful, or inappropriate purpose, such as spam, marketing, or other promotional activities. Your failure to comply may result in an immediate suspension or termination of the use of the Services.

    13. You may not use the Services for any illegal, fraudulent or unauthorized purpose nor may you, in the use of the Services, violate any Applicable Laws. Without limiting the foregoing, it is: (i) Supplier Merchant’s responsibility, and not our responsibility, to ensure that any Products the Supplier Merchant offers for sale on the Services comply with Applicable Laws, including the laws of the Supplier Merchant’s jurisdiction, and the laws of the jurisdiction to which the Products are shipped, including without limitation any applicable product safety or product labeling laws or import/export laws; (ii) the Retailer Merchant’s responsibility, and not our responsibility, to ensure that any Products the Retailer Merchant purchases from a Supplier Merchant comply with Applicable Laws. In each case, we have no liability for the Products offered for sale via the Services.

    14. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without our express written permission.

    15. If you are signing up for the Services on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to these Terms of Service. You promise and guarantee that during the period you use the Services: (i) if you are not a sole trader, your company is legally established in accordance with Applicable Laws, validly existing and in good standing; (ii) you have all the necessary legal qualifications, rights, capabilities and authorities to agree to these Terms of Service, fulfill duties accordingly and grant the rights required under these Terms of Service, and you have the permissions, approvals and licenses required by your business; and (iii) you and your Affiliates will comply with all Applicable Laws, rules and regulations to fulfill your rights and duties under these Terms of Service, including but not limited to listing, and offering for sale Products via the Services.

    16. The Terms of Service may be available in languages other than English. To the extent of any inconsistencies or conflicts between these English Terms of Service and the Terms of Service available in another language, the most current English version of the Terms of Service will prevail.

  2. Requirements

    1. In order to use the Services, the person signing on behalf of the Supplier Merchant or Retailer Merchant must provide us with all required fields in the application/registration form, as well as any other information/documentation identified as being required during or after the account registration process.

    2. You acknowledge and agree that the Services will be able to access the store data of your Shopify Account.

    3. If you have multiple Shopify Accounts, you must connect the Service to each of your Shopify Accounts. Once you have connected a Shopify Account to the Services, it is not possible to switch the Shopify Account that is connected to the Services.


  3. Our Rights

    1. We reserve the right to modify the Services, including, but not limited to, adding or removing features, discontinuing or terminating the Services or any part thereof, or terminating your access to the Services, for any reason without notice at any time.

    2. We reserve the right to refuse access to the Services to anyone for any reason at any time. In addition, we reserve the right, but are not obligated, to limit the availability of the Services, or products or services made available via the Services, to any person, entity, geographic region or jurisdiction. We may exercise this right on a case-by-case basis.

    3. We may, but have no obligation to, remove without notice any public Comments that we determine in our sole discretion violate: (i) these Terms of Service, including the Shopify TOS; or (iii) any Applicable Laws.

    4. It is in our sole discretion to refuse or remove any Products or Materials that you post or otherwise make available on, or related to, the Services.

    5. A breach or violation of any provision of these Terms of Service or the Shopify TOS, as determined in our sole discretion, may result in an immediate suspension or termination of your access to the Services. Without limiting any other remedies that we have, we may suspend or terminate your access to the Services if we suspect that you have engaged in fraudulent activity.

    6. We reserve the right to provide any of our services to your competitors and make no promise of exclusivity in any particular market segment.


  4. Third Party Services

    1. Shopify may utilize third party service providers (each a “Third Party Provider”) to assist us in providing the Services or to carry out one or more of the purposes described in these Terms of Service. You grant us permission to allow the applicable Third Party Provider to access your information and to take any other actions as required for the provision of the Services, and any exchange of information or other interaction between you and the Third Party Provider is solely between you and such Third Party Provider. Shopify is not responsible for any disclosure, modification or deletion of your information, or for any corresponding losses or damages you may suffer, as a result of access by a Third Party Provider to your information. For clarification, Shopify shall not be responsible for any Third Party Provider or such Third Party Provider’s services, and you agree that any claim relating to a Third Party Provider or such Third Party Provider’s services may only be made against such Third Party Provider. Your represent and warrant that you will comply with the terms of use relating to any applicable Third Party Provider’s services.


  1. Privacy and User Data

    1. In addition to any data and privacy obligations in the Shopify TOS, you acknowledge and agree that: (a) the Services involves the collection, use and disclosure of Buyer data which may include Personal Information; and (b) you shall comply with all Applicable Laws as it relates to the collection, use and disclosure of Buyers’ Personal Information, including, without limitation: (i) maintaining and properly disclosing appropriate privacy policies to the Buyer in advance of completing a Transaction; and (ii) obtaining any required consents (including express consent where required) prior to sending any marketing communications to the Buyer(s). Merchants shall only use Personal Information of Buyers to fulfill their obligations under these Terms of Service and/or the Commercial Terms. Retailer Merchants are responsible for: (i) providing Buyers with information about how and why their Personal Information is processed; and (ii) ensuring that Buyers can exercise their data subject rights in accordance with Applicable Laws.

    2. You understand that any information you provide to us in using the Services may be transferred unencrypted and involve: (i) transmissions over various networks; and (ii) changes to conform and adapt to technical requirements of connecting networks or devices. Any Personal Information you provide to us in using the Services will be treated in accordance with these Terms of Service and Shopify’s Privacy Policy

    3. You must not collect or harvest any Personal Information provided to you in relation to the Services without prior express consent in compliance with Applicable Laws. It is your responsibility to protect any Personal Information you access through the Services and to process it safely and securely in accordance with Applicable Laws and any other terms governing other Shopify services you may use.

    4. Merchants may have their own privacy policies or statements governing their practices in collecting, storing, using and disclosing any Personal Information or other information you provide them. You should familiarize yourself with such other privacy policies or statements before providing or agreeing to provide your Personal Information or other information to another Merchant via the Services or otherwise.

    5. You may invite, or direct Shopify to invite, other Shopify Merchants to use the Service by providing the email addresses of those you want to invite. By asking us to invite others to use the Service, you represent to us that those you invite consent to receive the automated invitation messages and that you are authorized to convey that consent to us in accordance with Applicable Laws.

    6. You acknowledge and agree that by using the Services, you agree to allow Shopify to identify you and to use your Materials, and your Personal Information, to provide the Services, and for purposes of facilitating any Retailer Merchant-Supplier Merchant relationship. You expressly consent to the use and sharing of your Personal Information as described in these Terms of Service and the Shopify Privacy Policy.


  1. Supplier Merchant Products and Materials; Intellectual Property

    1. You are solely responsible for ensuring you have the necessary rights to publicly post and/or sell the Products and Materials via the Services.

    2. Products and Materials, including Product listings, must at all times comply with: (i) these Terms of Service, including the Shopify TOS; (ii) any Applicable Laws; and (iii) any other eligibility requirements that may be communicated by Shopify from time to time.

    3. You represent, warrant and covenant that you have the right to offer for sale, and sell, every Product that you list via the Services. To the extent that any of the Products included in product listings incorporate the trademarks, copyrights or other intellectual rights of third parties, you represent, warrant and covenant that you have the appropriate license rights to sell the Products and permit Retailer Merchants to list and resell such Products on their Stores. By listing Products for selection by Retailer Merchants through the Services, Supplier Merchant grants each Retailer Merchant permission to display, advertise, promote, and sell the applicable Products.

    4. We do not pre-screen Products or Materials made available via the Services and we may refuse or remove Materials and Products from being listed on the Services at any time at our sole discretion.

    5. You grant Shopify and other Merchants using the Service a limited, worldwide, non-exclusive, sub-licensable royalty-free license to access, use, reproduce, electronically distribute, transmit, perform, format, display, store, archive, and index your Products andMaterials in relation to the Services. Subject only to the limited license expressly granted herein, yours or your third party licensors shall retain all right, title and interest in and to your Materials and all intellectual property rights therein. Nothing in these Terms of Service will confer on Shopify any right of ownership or interest in your Materials.

    6. Supplier Merchant and Retailer Merchant acknowledge and agree that the Services, including without limitation, any associated software, documentation, applications, websites, tools and products, any modifications, enhancements and updates thereto, and all intellectual property rights therein are exclusively owned by Shopify.

    7. Supplier Merchant and Retailer Merchant agree not to purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use Shopify or Shopify’s trademarks and/or variations and misspellings thereof.


  1. Fees, Payments, Taxes and other Charges

    1. Normal transaction fees for your use of Shopify Payments will apply. Shopify reserves the right to introduce and/or modify fees for the Services from time to time upon notice to Merchants.

    2. You are responsible for, as applicable, invoicing, collecting and/or remitting applicable Taxes, that arise from any of your activities related to the Services or otherwise arising with respect to your dealings with another Merchant, Buyer or other third party. Each Merchant is responsible for: (i) determining if Taxes are payable on, or arise out of, any transactions between Merchants and each Transaction, and if so, collecting and remitting Taxes to the appropriate tax authorities; and (ii) any other financial reporting or remittances required because of your actions as either a Supplier Merchant or a Retailer Merchant. Merchants should ensure the Commercial Terms designate terms relating to the shipping, transfer of title and delivery of the Products. Failure to do so may result in additional tax liability.

    3. Where required by Applicable Law, you must register for Tax collection in those jurisdictions where you plan to deliver Products for sale. Supplier Merchants are responsible for obtaining all applicable tax exemption certificates, documentation or tax identification numbers reasonably required under Applicable Law (the “Exemption Documentation”). Failure to apply for or maintain appropriate registration and/or Exemption Documentation may result in additional tax liability to Supplier Merchant. Please seek independent legal or tax advice where necessary.

    4. Retailer Merchants are responsible for paying Supplier Merchant for the cost of any Products that Retailer Merchant purchases from such Supplier Merchant and any other costs, expenses or fees arising in connection with the Commercial Terms or use of the Services. Shopify will not be responsible for any non-payment by a Merchant in connection with the Services.

    5. You may be selected, at Shopify’s sole discretion, to enroll in the automatic settlement of payments for Transactions (“Automatic Payments”) during the registration process or at any time during your use of the Services. Additional disclosures and/or consents may be provided or required at the time of enrollment. By electing to enroll in Automatic Payments, you authorize Shopify, or a Third Party Provider, to debit and/or credit your Shopify Payments Account, as may be required, once a Transaction occurs on the Store. If a payment via Automatic Payments is unsuccessful, there may be subsequent attempts to debit and/or credit a Merchant’s Shopify Payments Account. In the event that payment is unable to be facilitated via Automatic Payments, each Merchant will be notified and it will be such Merchants’ responsibility to determine an alternate method of payment.

    6. You agree that Shopify is not a marketplace or marketplace facilitator and shall not be responsible for calculating, collecting or remitting any sales, use or other similar indirect transaction Taxes in relation to any Transactions or sales between Retailer Merchants and Supplier Merchants.

    7. Any attempt to defraud through the use of fraudulent requests or methods of payment, or any failure to honor charges or requests for payment, will result in termination of your use of the Services and may result in civil and/or criminal prosecution.


  1. User Comments, Feedback and Other Submissions

    1. You agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any Comments that you forward to us. We are under no obligation to: (1) use or rely on any Comments; (2) maintain any Comments in confidence (unless such Comments contain Personal Information as defined in our Privacy Policy); (3) pay compensation for any Comments; or (4) respond to any Comments.

    2. You agree that your Comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other intellectual property, personal or proprietary right. You further agree that your Comments will not contain libelous, defamatory or otherwise unlawful, abusive, hateful or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website or application. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us as to the origin of any Comments. You are solely responsible for any Comments you make and their accuracy. We take no responsibility and assume no liability for any Comments posted by you.


  1. Prohibited Uses

    In addition to any prohibitions set forth in these Terms of Service and the Shopify TOS, you are prohibited from using the Services: (i) for any unlawful purpose; (ii) to solicit others to perform or participate in any unlawful acts; (iii) to violate any Applicable Laws; (iv) to submit false or misleading information; (v) to upload or transmit viruses or any other type of malicious or destructive code; (vi) to collect or track the Personal Information of others; (vii) to spam, phish, pharm, pretext, spider, crawl, or scrape; or (viii) to interfere with or circumvent the security features of the Services or any related website or application, other website or application, or the Internet. We reserve the right to suspend or terminate your use of the Services or any related website or application, and pursue all available remedies, for violating any of the prohibited uses.


  1. Disclaimer of Warranties; Limitation of Liability

    1. Your use of the Services is at your sole risk. The Services and any Products made available through it, are provided on an “as is”, and “with all faults”, and “as available” basis without any warranty or condition, express, implied or statutory. Shopify does not warrant that the Services will be uninterrupted, timely, secure or error-free or that any errors in the Services will be corrected.

    2. Shopify does not guarantee the availability of the Services and you acknowledge that Shopify may disable access to the Services at any time in its sole discretion and without notice to you. Shopify is not responsible or liable to anyone for discontinuation or suspension of access to, or disablement of, the Services or any Products made available on or through it. We reserve the right to modify, discontinue, suspend, or terminate these Terms of Service, or your use of the Services for any reason, without notice at any time. Shopify shall not be liable to you or to any third party for any such modification, discontinuance, suspension, or termination.

    3. To the fullest extent permitted by law, Shopify and its Affiliates, officers, directors, employees, agents, or licensors are not responsible for: (i) any actions, inactions, statements or guarantees made by Merchants; (ii) the availability, quality, safety, morality or legality of the Products; (iii) guaranteeing the identity of any Merchant with whom you interact in using the Services or the ability of Supplier Merchants to sell or fulfill Transactions; or (iv) any services provided by a Third Party Provider or any third party services you elect to use in conjunction with your use of the Services.

    4. You expressly understand and agree that, to the extent permitted by Applicable Laws, Shopify shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, Taxes, use, data or other intangible losses arising in connection with: (i) the Services; (ii) the Commercial Terms; and/or (iii) these Terms of Service (however arising including negligence).

    5. Each Merchant is solely responsible for its respective obligations under the Commercial Terms, all of the terms and conditions applicable to any Transaction, and any other matters, contractual or otherwise, that may arise between Merchants, or a Buyer, in connection with your respective use of the Services and the offering for sale of Products, including, without limitation, terms of sale, purchase, payment, refunds, returns, chargebacks, inventory, shipping, handling, storage, insurance, representations and warranties, fees, applicable Taxes, licenses, transfer of title and licenses, or other matters related to the sale of the Products, all of which must be in accordance with Applicable Laws.

  2. Representations and Warranties

    In addition to any representations and warranties included in the Shopify TOS, you represent, warrant and covenant that: (i) you have the legal power to enter into and perform its obligations under these Terms of Service, and the person agreeing to these Terms of Service on behalf of the Merchant has been duly authorized to do so; (ii) you will comply with all Applicable Laws in the performance of its obligations under these Terms of Service; and (iii) you will collect and remit all applicable Taxes.


  1. Indemnification

    You agree to indemnify, defend and hold harmless Shopify and its Affiliates, officers, directors, employees, agents, and licensors from any claim, costs, fees, expenses or demand, including reasonable attorneys’ fees, made by any third-party, due to or arising out of a claim arising out of, or related to: (i) an allegation that you, your Products, your Materials or your Comments infringe the intellectual property rights, privacy rights or other rights of a third party or violate any Applicable Laws; (ii) your use of the Services, breach of these Terms of Service, or the Shopify TOS and documents they incorporate by reference; (iii) your use of the services of a Third Party Provider or your relationship with a Merchant; (iv) the Commercial Terms; (v) any Buyer dispute relating to a Transaction; or (v) any and all Taxes, together with any interest, penalties and other additions with respect thereto, imposed by any federal, state, local or foreign government in any way related to the sale of the Products via the Services.


  1. Dispute Resolution

    In the event of dispute between Merchants in connection with the Services, any Transaction or the Commercial Terms (a “Dispute”), you release Shopify and its Affiliates, officers, directors, employees, agents, and licensors from any and all claims, demands, actions, liabilities, rights, duties and damages (actual or consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such Disputes.


  1. Termination

    1. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Services by disabling your access to the Services.

    2. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service or the Shopify TOS, we may terminate these Terms of Service at any time without notice and accordingly may deny you access to the Services or any part thereof. The obligations (including payment obligations) and liabilities incurred prior to the termination date shall survive the termination of these Terms of Service for all purposes.

    3. Upon termination of these Terms of Service by either party for any reason: (i) you will no longer be able to access the Services; and (ii) any Materials associated with your account may be destroyed.

    4. The obligations and liabilities incurred prior to the termination date shall survive the termination of these Terms of Service for all purposes.


  1. Severability

    In the event that any provision of these Terms of Service is determined by a court of competent jurisdiction to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by Applicable Law, the unenforceable portion shall be deemed to be severed from these Terms of Service, and such determination shall not affect the validity and enforceability of any other remaining provisions.


  1. Waiver and Entire Agreement

    1. The failure by us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

    2. These Terms of Service and any documents incorporated into these Terms of Services or posted by us in respect to the Services, constitutes the entire agreement and understanding between you and us, and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior agreements or versions of the Terms of Service).


  1. DMCA Notice and Takedown Procedure

    Shopify supports the protection of intellectual property and asks its users to do the same. It’s our policy to respond to all notices of alleged copyright infringement. If someone believes that one of our users is infringing their intellectual property rights, they can send a DMCA Notice to Shopify’s designated agent using our form. Upon receiving a DMCA Notice, we may remove or disable access to the Materials claimed to be a copyright infringement. Once provided with a notice of takedown, the user can reply with a counter notification using our form if they object to the complaint. The original complainant has 14 business days after we receive a counter notification to seek a court order restraining the user from engaging in the infringing activity, otherwise, we restore the Materials.
